Using theInternet and other sources, locate two examples of mergers or acquisitions that failed. Be sure the articles contain enough information about what actually happened in the failed merger or acquisition so that you can answer the questions below.

Directions:

1. Write a review comparing the two unsuccessful mergers/acquisitions you found. Address the following questions for each of the mergers/acquisitions you chose:
   1. What was the motive behind the merger/acquisition? What internal and external factors impacted the merger/acquisition decision? Use specific examples to justify your response.
   2. Which of the two unsuccessful merger/acquisitions you reviewed held the most risk of not working from the onset? Why? Give examples.
   3. Did either company use metrics during the merger/acquisition process to measure their progress? Describe and explain at least two additional metrics which could have been used by each company in monitoring their progress during the M&A process.

Welcome. This is the fourth written (and final) assignment in BL 240. Before you begin the assignment, review that portion of the course syllabus (see class webpage) dealing with “Written Assignments” to ensure that you understand the format (cover page plus no more than two type-written double spaced pages, content of the cover page, Code of Honor statement, etc.). You will be graded both on your response to the assignment and on having followed the directions (format). Remember that verbiage will not be rewarded but the thoughtfulness and thoroughness of your response will be. Remember, also, that the object is for you to show me that you understand the material in Unit 4 and can apply it to a specific fact set.

Written Assignment #4:

As noted in WA3, Kyle took your advice and decided not to spend the money to fight for his claim to “KFC.com” as the domain name for his new product line, Alabama’s Best Foods and reorganized the company as a LLC (limited liability company). Kyle, however, does want to continue the move of his business, Alabama Sunshine, to the next level of operations and he wants to complete the expansion by construct of a new store in Florala, AL. Recall that the property was owned by Sam; however, since Kyle’s business was so successful and people throughout Alabama and abutting States knew him and Alabama Sunshine, Kyle hired Angie to contact Sam, negotiate a price, and, if possible, buy Sam’s property, Kyle instructed Angie to not tell Sam that she was working for Kyle. Unfortunately, Angie realized that Sam’s property was an exceptionally good deal and bought the property for herself, not Kyle as agreed. Kyle has gotten over his anger and wants to move on with the construction of the new building on Greenacre (the Angie/Sam parcel of land).

Angie had acquired Greenacre in fee simple absolute and proposes to convey Greenacre to Kyle with a right of reverter (reversionary interest) as the location for Kyle’s new store. The proposed conveyance would be a defeasible fee (fee simple defeasible) with the condition that, should Kyle fail to construct and open his store on Greenacre within 24 months or should Kyle cease to use Greenacre as a site for his store in the future, then Greenacre would revert back to Angie or her heirs. Angie also mentions that she does not want to transfer mineral rights to Kyle.

All this sounds pretty complicated to Kyle and he is growing nervous about this deal. His knowledge is in growing, processing, and marketing produce, not real estate transactions and land transfers. Knowing that you are (successfully) completing BL 240 and have studied land-use control and real property, Kyle turns to you for counsel. He is also concerned about any other problems that he should consider in this transaction or relating to the construction of the new business location. What are the legal issues and how would you advise Kyle? Kyle also mentions that a customer of United Nutrition Associates (UNA—recall WA2) is complaining that his holiday pack did not provide the health benefits that she would expect from organically grown produce. The family has filed a complaint with the federal government and is now threatening a lawsuit. Kyle wants to know what the legal issues are and how he should respond.

Since Colin Kaepernick first took a knee during the National Anthem at an NFL game, several others have joined in. Some of these players state that they are protesting police brutality. Others say they are protesting racial inequality. The controversy has garnered condemnation from many NFL fans and the president. Others say the players have free speech. However, one argument is that players are at work and, therefore, do not necessarily have “free speech.” These protests have impacted the revenues of the NFL and its owners.

When owners set out to create a business they do so because they believe they can make money. Not just money to pay the bills, but money that will support the expenses of running the business, pay the people employed by the business, and a handsome profit for themselves. However, if a business owner is smart they understand there are many things that could happen to the business that are beyond their control. Drought, tornedos, regulations, supply problems, are just a few examples.

The government wants to reward the entrepreneur because as discussed in week one, the economy of a country depends on people working and spending money. The government wants to create job and has provided business owners legal methods that protects society and limits an owner’s exposure to liability that may come about because of unforeseen events, problems or other issues that can hinder a person’s desire to own a business. The legal form of business is one of the main methods government uses to encourage business ownership.

A business owner must choose from these forms to select the legal form that best fits the purpose and size of the business as well as the amount of exposure to liability the owner is willing to take.
